Further to the information disclosed in the 2022 Annual Report, the Company wishes to provide to the Shareholders and the potential investors with the following supplementary information:
References are made to the share award scheme adopted by Graphex Group Limited (the “Company”, together with its subsidiaries, the “Group”) on 6 February 2023 (the “Share Award Scheme”) and the circular of the Company (the “Circular”) dated 12 January 2023 in relation to the Share Award Scheme and authorising the board of directors (the “Directors”) of the Company (the “Board”) to grant Awards under the Share Award Scheme and to allot and issue, procure the transfer of and otherwise deal with the Awarded Shares in connection with the Share Award Scheme.
The Board is pleased to announce that on 19 July 2023 (after trading hours of the Stock Exchange), the Company entered into the Cooperation Agreement with the Nanshu Town Government pursuant to which the Company and the Nanshu Town Government intended to have a cooperation in the “Graphite Anode Material Project” (the “Project”) in Laixi City Nanshu Town New Material Industrial Park (the “Park”) which is situated in Nanshu Town, Laixi City, Shandong Province, the PRC.

The Company received a conversion notice from Peter Weisman as Noteholder in respect of the exercise of the Conversion Rights attached to the Convertible Note with the principal amount of US$70,000 at the initial conversion price of HK$0.65 per Ordinary Share, as a result the Company allotted and issued 834,615 Conversion Shares to Peter Weisman on 14 July 2023 (the “Conversion”)

At the annual general meeting of Graphex Group Limited (the “Company”) held on Thursday, 29 June 2023 (the “AGM”), all proposed resolutions as set out in the notice of the AGM dated 28 April 2023 were taken by poll. Unless otherwise defined, capitalised terms used herein shall have the same meanings as defined in the circular of the Company dated 28 April 2023.
The Company issued a press release on 20 June 2023 (U.S. Eastern Time) announcing it has engaged the services of New York City-based investment bank and financial advisory firm, Maxim Group LLC to provide financial advisory services in relation to the potential spin-off of the Company’s indirect wholly-owned subsidiary, Graphex Technologies, LLC.
