Graphex Group’s exclusive MOU with Emerald Energy Solutions LLC is a key step toward the construction of a graphite processing facility in the greater Michigan area to support EV battery production across the United States

ROYAL OAK, Mich., Feb. 07, 2022 (GLOBE NEWSWIRE) — Graphex Technologies, LLC, a wholly owned subsidiary of Graphex Group Limited (collectively “Graphex”) (OTCQX: GRFXY | HKSE: 6128), has entered into an exclusive non-binding memorandum of understanding (MOU) to form a joint venture with Michigan-based Emerald Energy Solutions LLC (“EES”) for constructing and operating a graphite processing facility. The joint venture is considering several Michigan sites as well as other sites for the facility. Final decision and site selection is expected in March and is subject to agreements being reached with state and local governments and agencies. Graphex expects that a facility could be operational before the end of Q2 2023 with an initial capacity to deliver 10,000 metric tons per annum (TPA) of coated spherical graphite used in EV battery anodes and may increase the capacity to 20,000 TPA relatively quickly to meet increased demand.

Processed spherical graphite is the predominant anode material used in most lithium-ion batteries for EVs and renewable energy storage. The processing and supply of coated spherical graphite is expected to significantly increase every year to satisfy the skyrocketing demand for EVs. With EVs expected to make up 45% of all vehicles sold in the United States by 2035, the advantages for anode material processing within the U.S. alone are significant. Domestic facilities with the expertise and proven capability to produce high-quality anode materials at scale will create localized stable supply and reduce potential logistical and geopolitical interruptions.

The collaboration intends to deliver a vertically integrated supply of active anode material to meet the quality, quantity, and delivery time frames required by the EV/battery industry in North America and beyond

ROYAL OAK, Mich., January 25, 2023–(BUSINESS WIRE)–Graphex Group Limited (NYSE American: GRFX | HKSE: 6128) and its U.S. subsidiary, Graphex Technologies LLC (collectively “Graphex”), a global leader in the downstream processing of specialized natural graphite used in electric vehicle (EV) lithium-ion (Li-ion) batteries, today announced it has entered into a non-binding Letter of Intent (“LOI”) with Gratomic Inc., a graphite company based in Toronto, Ontario (TSX-V:GRAT)(OTCQX:CBULF)(Frankfurt:CB82) (the “Company” or “Gratomic”). The intent of the LOI is to combine Gratomic’s raw material supply capabilities with Graphex’s proven downstream processing expertise to solve an industry wide supply-demand gap by delivering an end-to-end supply of graphite from mine to battery with facilities to be located in North America.

Pursuant to the LOI, Graphex and Gratomic intend to diligently and in good faith negotiate the terms of a Joint Venture, including management and ownership structures, to jointly produce coated spherical graphite anode material for the EV/battery market. Graphex will license and/or contribute its technology and expertise to the Joint Venture and Gratomic will provide security of raw material supply (graphite concentrate). It is contemplated that Graphex will provide all the technology, plans and expertise for building and operating the plant(s). Graphex has existing processing facilities in Asia and has also secured and is developing a site in Warren Michigan that is being designed to produce 15,000 tonnes per annum (tpa) of battery anode material. Gratomic is the holder of 100% interests in the Aukam property located in southern Namibia and the Buckingham property in Quebec, Canada as well as mineral claims in Capim Grosso in Brazil, from which property rights and claims Gratomic intends to develop operating graphite concentrating facilities. Gratomic shall remain entitled to enter into supply agreements with third parties for raw material not committed to the Joint Venture.

Northern and Graphex will work closely with the Department of Innovation and Development for the Manicouagan/Baie-Comeau region of Quebec to identify and evaluate sites that could accommodate processing facilities to produce up to 200,000 tonnes per year (tpy) of battery anode material where they could conduct their proposed joint venture. Northern would provide security of raw mineral supply (graphite concentrate) and it is contemplated that Graphex would license and/or contribute its technology, plans and expertise for building and operating the plant(s). Construction of the proposed battery anode material plant would be subject to identification and acquisition of an appropriate ‎site, receipt of regulatory approvals and financing.‎

The Manicouagan/Baie-Comeau region presents uniquely advantageous infrastructure and operating conditions for the joint venture to achieve its objectives, including ample renewable energy (hydro power), greenfield and brownfield locations, a deep-sea international port, and most importantly a welcoming local, regional, and national political and financial environment with favorable incentive potential.

The current supply picture for natural graphite in North America is marked both by a significant shortfall in the availability of non-China-sourced graphite raw material that is needed to meet projected demand, and the complete absence of experienced commercial-scale downstream processing to transform that raw material into battery-grade anode material. The intent of the LOI is to aggregate Northern’s raw material supply capabilities with Graphex’s proven downstream processing expertise to solve an industry wide supply-demand gap by delivering an end-to-end supply of graphite from mine to battery while simultaneously on-shoring a critical mineral supply chain to North America.

Pursuant to the LOI, Graphex and Northern intend to diligently and in good faith negotiate the terms of a Joint Venture, including management and ownership percentages, to jointly produce coated spherical graphite anode material for the EV/battery market. Graphex will license and/or contribute its technology and expertise to the Joint Venture and Northern will provide security of raw mineral supply (graphite concentrate). It is contemplated that Graphex will provide all the technology, plans and expertise for building and operating the plant(s). Graphex has already secured and is developing a site in Warren Michigan that is being designed to produce 15,000 tonnes per annum (tpa) of battery anode material, and Northern is evaluating sites in Canada that could accommodate production of up to 200,000 tpa of anode material. Northern shall remain entitled to enter into supply agreements with third parties for production not committed to the Joint Venture and to participate in the construction of other graphite processing plants provided that Northern may not directly or indirectly use, exploit or disclose any of Graphex’s technology in connection with such plants.

The agreement for a new production facility will allow Graphex Group to increase its annual output production of graphite to supply gigafactories in China and the rest of the world.

ROYAL OAK, Mich., Sept. 21, 2022 (GLOBE NEWSWIRE) — Today, the global supplier of graphite Graphex Group Limited (NYSE American: GRFX | HKSE: 6128), announced it has entered into an agreement with the Jixi Mashan Government on a project for a new production facility located in the Jixi (Mashan) Graphite Industrial Park (the “Project”). The agreement will allow Graphex to increase its annual production of graphite while establishing a graphite deep processing and production facility. The new site will have an intended output of 20,000 metric tons of high-purity spherical graphite in Phase I and an additional 10,000 metric tons of high-purity spherical graphite and 10,000 metric tons of battery anode materials in Phase II of the Project respectively.

Within the Jixi (Mashan) Graphite Industrial Park, the new factory for Phase I of the Project will feature five workshops across 270,000 square feet, an office building, and employee accommodation areas. The Project will roll out over the course of the next three years. Under the MOU, the Jixi Mashan Government will provide Graphex with the right to purchase the factory premise, while providing green electricity sources such as wind and solar to operate the facility.

Graphex believes, based on industry reports including Benchmark Mineral Intelligence, the combined annual demand for graphite anode material capacity to supply EV battery gigafactories in the U.S., Europe, and China will be over 4 million tons by 2030, which represents a 10X increase over the demand today.

The international technology company announces preliminary 2022 interim financial results, plans to increase graphite production globally and localize critical mineral supply chains, including its first production facility in the U.S.

ROYAL OAK, Mich., Aug. 31, 2022 (GLOBE NEWSWIRE) — Graphex Group Limited (NYSE American: GRFX | HKSE: 6128) and its wholly owned U.S. subsidiary, Graphex Technologies LLC (collectively “Graphex” or “Company”), a global leader in mid-stream processing of specialized natural graphite used for electric vehicle (EV) lithium-ion (Li-ion) batteries, today provided its announcement of the preliminary interim financial results for the six month period ending June 30,2022, as well as an update that reflects on milestones achieved in 2022 and its objectives for the remainder of the year. The announcement was made in Hong Kong in accordance with the applicable rules of The Stock Exchange of Hong Kong Limited (“HKSE”). Financial results for the six month period ending June 30, 2022 that are prepared in accordance with U.S. Generally Accepted Accounting Principles will be provided on or prior to September 30, 2022. Despite residual effects of COVID and supply chain issues, particularly in the Asian region, the Company revenues were relatively steady year over year, particularly for the graphene products segment. Graphex Group believes that such steady revenues for the graphene segment indicate continued strong demand for the entire output of refined graphene products and an opportunity for the Company to expand its graphene products business in Asia, as well as in the U.S. and globally. Combined revenues decreased slightly, driven primarily by lingering pandemic effects affecting the eco design landscape architecture and design business. The Company was able to reduce its cost of sales, selling and marketing expenses, and administrative costs. In addition, the Company was also able to decrease its debt by 33% and losses for the six month period decreased. After adjustment for non-cash depreciation and the costs of the recent uplisting to the NYSE American market, the Company’s cash flow was positive.
